Incorporations/Limited Liability Company Formations

Our corporate formations are complete, meaning we issue shares, prepare initial meeting minutes for the shareholders’ and directors’ meetings, and apply for a federal employer identification number. We also have experience with professional incorporations, for medical doctors, dentists, attorneys, and other professionals. Limited Liability Companies: Limited liability companies (“LLCs”), offer the same liability protection as corporations, and in some instances, offer tax advantages because an LLC can elect to be taxed as a partnership. We draft and file the Articles of Organization, and draft the Operating Agreement, to reflect how the members (owners) will share in the profits and/or losses, and discuss capital accounts and other matters. Partnerships: We can prepare all of the necessary formation documents, and draft general partnership, limited partnership, or joint venture agreements to suit our clients’ needs.
