Business Law Lawyers in Charlotte NC
Gorman & Associates handles everything from basic incorporations of small businesses to fairly complex merger and acquisition matters; from limited liability company formations to a variety of general business contracts; from employment agreements and covenants not to compete to regulatory and administrative advice.
Incorporations/Limited Liability Company Formations
Many of our clients desire to form a legal business entity, motivated largely by the need for liability protection, or tax planning. Corporations: We can form business corporations and other entities in North Carolina, South Carolina, and Delaware. Our corporate formations are complete, meaning we issue shares, prepare initial meeting minutes for the shareholders’ and directors’ meetings, and apply for a federal employer identification number. We also have experience with professional incorporations, for medical doctors, dentists, attorneys, and other professionals. Limited Liability Companies: Limited liability companies (“LLCs”), offer the same liability protection as corporations, and in some instances, offer tax advantages because an LLC can elect to be taxed as a partnership. We draft and file the Articles of Organization, and draft the Operating Agreement, to reflect how the members (owners) will share in the profits and/or losses, and discuss capital accounts and other matters. Partnerships: We can prepare all of the necessary formation documents, and draft general partnership, limited partnership, or joint venture agreements to suit our clients’ needs.
Contract Drafting and Review
Gorman & Associates’ attorneys draft all types of business agreements, including purchase and sale agreements for various goods and services, employment matters including employment contracts and covenants not to compete, and contracts for the purchase, acquisition, and/or merger of businesses. Clients often want us to draft standardized form agreements for them to use with their customers in multiple, repetitive transactions. We review agreements drafted by others, including those listed above, as well as franchise agreements, and evaluate the legal setup of investment schemes.
Lease Review/Commercial Real Estate Services
We routinely review and explain the various provisions of commercial leases, and assist clients wishing to purchase real property for their business, from contract drafting through the closing. We also represent builders and developers in a variety of corporate and real estate matters. See out Commercial Real Estate Page for more information.
Franchise Agreements – Review and Drafting
We can review franchise agreements and point out the strengths and weaknesses of the franchise agreement and uniform offering circular. Interested in licensing or franchising your business? We can draft FTC compliant franchise agreements and, in many cases, simpler licensing agreements to do the job properly.
Business Loan Closings
We handle business loan closings, and closings involving the purchase and sale of a business, whether or not they include real estate. We draft all of the necessary loan documentation, including documents pertaining to seller financing, UCC’s and security agreements, as applicable. Most importantly, we can advise what you should be doing to protect your interests, and help you avoid the pitfalls.
Corporate Documentation and Compliance
The Firm keeps shareholder and director meeting minutes up to date. We assist with reinstating a corporation or other entity that has been administratively dissolved. We also register out of state corporations wanting to do business in North or South Carolina.
We act as general counsel to many business and corporate clients, advising them on corporate, contract, employment, and litigation matters. We can help you think through and avoid problems before they arise. Call or email us today to learn how we can help you.
