Corporations: We can form business corporations and other entities in North Carolina, South Carolina, and Delaware. Our corporate formations are complete, meaning we issue shares, prepare initial meeting minutes for the shareholders' and directors' meetings, and apply for a federal employer identification number. We also have experience with professional incorporations, for medical doctors, dentists, attorneys, and other professionals. Limited Liability Companies: Limited liability companies ("LLC's"), offer the same liability protection as corporations, and in some instances, offer tax advantages because an LLC can elect to be taxed as a partnership. We draft and file the Articles of Organization, and draft the Operating Agreement, to reflect how the members (owners) will share in the profits and/or losses, and discuss capital accounts and other matters. Partnerships: We can prepare all of the necessary formation documents, and draft general partnership, limited partnership, or joint venture agreements to suit our clients' needs.
